By accessing or using the LegalOS services, website, and software (collectively, the "Service"), provided by LegalOS ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity. If you do not agree to all of these Terms, you may not access or use the Service.
LegalOS is an AI-powered tool designed to assist law offices in creating legal documents faster and managing client matters. The Service includes features such as AI-driven document generation, client intake, document management, and e-signature capabilities. We grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes, subject to these Terms.
The Service is intended as a professional tool to assist legal practitioners. All AI-generated content must be reviewed, verified, and customized by a qualified legal professional before use.
You must register for an account to access the Service. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate. You are responsible for safeguarding your account password and for all activities that occur under your account.
You must notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these Terms or engage in suspicious activity.
The Service is offered under specific subscription plans (Professional, Small Firm, Enterprise), which outline the number of user licenses, active matters, AI actions, and other features. You agree to the terms of the plan you select.
You agree to pay all applicable fees as described in your selected plan. Fees are billed in advance on a monthly or annual basis and are non-refundable, except as required by law or as otherwise stated in these Terms.
You must provide a valid payment method. By providing payment information, you authorize us to charge all fees to that payment method. If payment fails, we reserve the right to suspend your access to the Service.
We reserve the right to change our subscription fees at any time. We will provide you with advance notice of any fee changes. Your continued use of the Service after a price change constitutes your acceptance of the new pricing.
The Service, including its "look and feel," software, design, text, graphics, and all underlying technology and intellectual property, is owned by LegalOS and its licensors and is protected by copyright, trademark, and other laws. Except for the limited license granted herein, no rights are transferred to you.
You retain all ownership rights to the documents, data, and information you input into the Service ("Customer Data"). By uploading Customer Data, you grant us a worldwide, non-exclusive, royalty-free license to use, host, and process that data solely for the purpose of providing and improving the Service for you.
Content generated by the AI features within the Service is intended for your professional use as a drafting aid. You are solely responsible for reviewing, verifying, and customizing all AI-generated content before it is used in any legal proceeding or with any client.
You agree not to, and will not permit others to:
We will process and store Customer Data in accordance with our Privacy Policy and applicable data protection laws. You retain ownership of all your Customer Data. We will implement and maintain reasonable security measures to protect your data. However, we cannot guarantee that the Service is immune to security breaches.
You are responsible for maintaining the confidentiality of your client data and ensuring compliance with all applicable legal and ethical obligations, including attorney-client privilege and confidentiality requirements.
We offer a 14-day free trial period for new accounts. During the trial period, you have full access to the features of your selected plan. You may cancel at any time during the trial period without being charged. If you do not cancel before the trial period ends, your payment method will be charged the subscription fee for your selected plan.
You may terminate your account at any time through your account settings. Upon termination, you will not receive a refund for any prepaid fees unless required by law.
We may suspend or terminate your access to the Service immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason. Upon termination, your right to use the Service will cease immediately, and we may permanently delete your account and data after a reasonable period.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. WE DO NOT WARRANT THAT THE RESULTS OBTAINED FROM USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE.
THE SERVICE IS NOT A SUBSTITUTE FOR PROFESSIONAL LEGAL ADVICE. YOU ACKNOWLEDGE THAT YOU ARE SOLELY RESPONSIBLE FOR ALL LEGAL WORK PRODUCT AND ADVICE PROVIDED TO YOUR CLIENTS.
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL LEGALOS, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless LegalOS and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of another party.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts located in Delaware.
You agree to first attempt to resolve any dispute informally by contacting us. If a dispute is not resolved within 30 days of submission, either party may pursue formal legal action.
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of material changes by posting the new Terms on our website and updating the "Last Updated" date. We may also notify you via email or through the Service.
By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using the Service.
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and LegalOS regarding the Service and supersede all prior agreements and understandings.
